Partner Referral Programme Terms & Conditions
1. How the Programme Works
1.1. ELM Legal Services (“we”, “us”, “our”) offers a Business Referral Programme (“Programme”) that allows approved businesses (“you”, “your”) to refer clients to our services in exchange for commission payments.
1.2. Once you are enrolled, you will receive a unique referral link or referral code for use in your marketing or client communications.
1.3. You will earn commission for each successful referral that results in a new client engaging ELM Legal Services under a paid contract, subject to these Terms.
1.4. Referral links are unique to each partner and must not be shared publicly, transferred, or resold without written consent.
2. Commission and Rewards
2.1. For every successful referral, you will receive a commission of 5% on the total contract value (excluding VAT).
2.2. Where a referred client pays by instalments or direct debit, commission may be paid in line with those instalments, on a monthly basis.
2.3. Commission is calculated on the net amount actually received by ELM Legal Services from the referred client. Refunds, cancellations, or chargebacks will reduce or cancel the corresponding commission.
2.4. All commission payments will be made by bank transfer. If you are VAT-registered, VAT will be added to your commission upon receipt of a valid VAT invoice.
2.5. Commission is non-transferable and cannot be exchanged for any other form of benefit or incentive.
3. Qualification and Payment of Commission
3.1. A referral qualifies when:

the referred client is a new and first-time client of ELM Legal Services;

the client engages our services and makes a payment; and

the statutory 14-day cooling-off period has expired without cancellation.
3.2. Commission is payable after the above conditions are met and will normally be issued on the last working day of the month following qualification.
3.3. We reserve the right to verify the details of both referrer and referred client before processing payment.
3.4. We may refuse commission for duplicate, self-referrals, or any referrals that do not meet these criteria.
4. Data Protection and Privacy
4.1. All personal or business information collected under this Programme will be processed in accordance with our Privacy Policy.
4.2. The lawful basis for processing referral data is our legitimate interest in administering the Programme.
4.3. You must comply with all applicable data protection laws, including the UK GDPR and the Data Protection Act 2018, when handling referral information.
4.4. You must ensure that all referred individuals have consented to being contacted by ELM Legal Services.
4.5. We will never sell or share your data with third parties for marketing purposes without consent.
5. Eligibility and Conduct
5.1. Participation is open to UK-based businesses, introducers, and professional organisations approved by ELM Legal Services.
5.2. You may only refer legitimate business contacts, clients, or members of your own network.
5.3. Referral links must not be promoted through paid advertising, public listings, or social media posts that misrepresent ELM Legal Services.
5.4. You must not use referral methods that breach UK law, including anti-spam, data protection, or financial promotion regulations.
5.5. You may not issue legal, financial, or estate-planning advice on behalf of ELM Legal Services.
6. Completed Referrals and Limits
6.1. A “Completed Referral” occurs when the criteria in Section 3 are satisfied.
6.2. We may apply limits on the number of referrals or total commissions payable under this Programme.
6.3. ELM Legal Services reserves the right to reject referrals where we determine that the prospective client is unsuitable or already known to us.
7. Marketing and Brand Usage
7.1. You must not use ELM Legal Services’ logos, trademarks, or materials without prior written approval.
7.2. Any approved use of branding must follow ELM Legal Services’ brand guidelines.
7.3. You must not represent yourself as an employee, agent, or authorised representative of ELM Legal Services.
8. Term and Termination
8.1. We may suspend, amend, or terminate this Programme at any time without prior notice.
8.2. Referrals made prior to termination will remain eligible for commission, provided they meet all Programme requirements.
8.3. We may immediately terminate your participation if you breach these Terms or engage in conduct that may harm ELM Legal Services’ reputation.
9. Compliance and Audit Rights
9.1. You agree to maintain accurate records of referral activity and provide these upon request for verification.
9.2. ELM Legal Services reserves the right to audit any referral records for compliance purposes.
9.3. Failure to provide accurate information may result in termination of participation and forfeiture of unpaid commission.
10. Disclaimer and Limitation of Liability
10.1. The Programme and its benefits are offered on an “as is” and “as available” basis.
10.2. We make no warranties regarding the continuation of the Programme or potential income from participation.
10.3. Except in cases of negligence or wilful misconduct, ELM Legal Services shall not be liable for loss of profit, business opportunity, or any indirect or consequential damages arising from participation in this Programme.
11. Amendments
11.1. We may amend these Terms and Conditions at any time.

11.3. Continued participation constitutes acceptance of the amended Terms.
12. Governing Law
These Terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
